1. Introduction

This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and NodeByte LTD ("we", "our", or "us") for the software, code, services, and associated documentation (collectively, the "Software") provided by NodeByte.

By downloading, installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, access, or use the Software.

2. License Grant

2.1 Standard License

Subject to the terms of this Agreement, NodeByte grants you a limited, non-exclusive, non-transferable, revocable license to:

Download, install, and use the Software for your personal or internal business purposes
Use the Software on a single device or as specified in your purchase agreement
Make one copy of the Software for backup purposes

2.2 Enterprise License

If you have purchased an Enterprise License, additional terms may apply as specified in your purchase agreement.

2.3 Open Source Components

The Software may include components licensed under open source licenses. You agree to comply with the terms of those licenses. In case of conflict between this Agreement and any open source license, the open source license will prevail with respect to the specific open source component.

3. Restrictions

Except as expressly permitted in this Agreement or by applicable law, you may not:

Copy, modify, adapt, translate, or create derivative works based on the Software
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
Remove, alter, or obscure any proprietary notices on the Software
Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party
Use the Software for any illegal purpose or in violation of any local, state, national, or international law
Use the Software to develop competing products or services
Publicly display or perform the Software without our prior written consent

4. Intellectual Property Rights

The Software is protected by copyright, trademark, and other intellectual property laws. NodeByte and its licensors own all rights, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership rights in the Software to you.

5. Updates and Maintenance

5.1 Updates

NodeByte may provide updates, upgrades, or new versions of the Software at its discretion. Such updates may be provided with or without charge and will be subject to the terms of this Agreement unless otherwise specified.

5.2 Support and Maintenance

Technical support and maintenance services may be provided as described in your purchase agreement or subscription plan.

6. Term and Termination

This Agreement remains in effect until terminated.

Termination by You: You may terminate this Agreement at any time by ceasing all use of the Software and destroying all copies.
Termination by Us: We may terminate this Agreement if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies.
Survival: Sections relating to intellectual property rights, disclaimer of warranties, limitation of liability, and governing law will survive termination.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND.

NodeByte LTD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NodeByte LTD DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

IN NO EVENT SHALL NodeByte LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT OR OTHERWISE, EVEN IF NodeByte LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Export Regulations

The Software may be subject to export laws and regulations. You agree to comply with all applicable international and national laws that apply to the Software, including export restrictions.

10. General Provisions

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

10.2 Entire Agreement

This Agreement constitutes the entire agreement between you and NodeByte regarding the Software and supersedes all prior and contemporaneous agreements and understandings.

10.3 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.4 Amendments

NodeByte may amend this Agreement from time to time by posting an updated version on our website. Your continued use of the Software after such changes constitutes your acceptance of the amended Agreement.
